Corporate Paralegal
US - Remote
We are seeking a highly organized and detail-oriented Corporate Paralegal to join our legal team. The ideal candidate will support attorneys across a variety of corporate law matters, including SEC filings, international entity management, corporate governance, and transactional support, while ensuring all tasks are completed efficiently and accurately. This role is perfect for someone with strong multitasking abilities, exceptional attention to detail, and a passion for working in a fast-paced legal environment.
Responsibilities:
- Assist attorneys with corporate entity formation, maintenance, and dissolution, including preparing and filing necessary documentation for both domestic and international entities.
- Coordinate and manage corporate filings, including annual reports, board minutes, resolutions, and SEC filings (e.g., Forms 10-K, 10-Q, 8-K, and S-1).
- Conduct due diligence and assist with the preparation of transactional documents for mergers, acquisitions, and other corporate transactions.
- Manage compliance requirements and ensure proper governance for international subsidiaries, including registrations, renewals, and local regulatory filings.
- Maintain and organize corporate and SEC compliance records, as well as international entity documentation, and assist with document management and calendaring deadlines.
- Collaborate with internal stakeholders to provide corporate governance support and ensure compliance with U.S. and international regulatory requirements.
Minimum Qualifications:
- 10+ years of experience as a corporate paralegal, with expertise in SEC filings, international entity management, corporate governance, or transactional support.
- Strong ability to work independently and manage cross-functional tasks.
- Proficient in Microsoft Office Suite, entity management software, and familiarity with SEC filing processes, including electronic filings via EDGAR.
- Experience managing international subsidiaries and understanding of international corporate compliance requirements.
- Strong organizational skills, attention to detail, and ability to meet tight deadlines.
- Available full-time, 40 hours per week.
Preferred Qualifications:
- Experience working directly in a large law firm or in-house corporate legal department as a corporate paralegal.
- Proficiency with Excel, Word, PowerPoint, and legal technology platforms for managing corporate, SEC, and international filings.
- Detail-oriented with strong time management and multitasking skills.
- Familiarity with managing board governance, equity documents, and corporate transaction checklists.
- Candidate can be located anywhere in the US

Compensation, Benefits & Location:
This role offers a range of competitive compensation starting at $85,000 and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401K and more.
