Mergers and Acquisitions Counsel

Axiom is currently a skilled Mergers and Acquisitions Lawyer, admitted to practice in Arizona, to join our network and provide flexible, variable hourly work to our clients. In this role you will work with diverse clients, including those with national workforces, and handle intricate mergers and acquisitions ranging from $100K to $80M, with a focus on deals within the $5−40M range. You will be expected to provide expert legal counsel, draft necessary documents, and coordinate extensively with the clients’ business teams to ensure seamless deal execution. This role is ideal for a legal professional who thrives in a dynamic environment and can manage deals with short notice. In addition to mergers and acquisitions Axiom is also seeking lawyers skilled in employment law and commercial real estate.
Responsibilities:
- Serve as primary legal counsel for M&A transactions, managing deals from cradle to grave.
- Draft, review, and negotiate M&A-related documents, including resolutions and ancillary documents.
- Manage a high volume of ad hoc engagements, responding promptly and efficiently to client needs.
- Collaborate with clients who may not have in-house counsel, offering comprehensive legal support and guidance.
- Utilize expert knowledge to handle corporate generalist tasks and escalate regulatory issues as necessary.
- Provide junior diligence support for enterprise-level deals.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and membership in good standing with the Arizona state bar.
- Extensive experience in handling M&A transactions of various sizes, particularly within the 5−5−40M range.
- Demonstrated ability to run deals, coordinate complex transactions, and manage ancillary documents.
- Deep experience with deals ranging from $100K to 80M.
- Big Law pedigree or experience in boutique, regional law firms specializing in M&A.
- Strong preference for flexible hourly, ad hoc work or part-time engagements.
Compensation, Benefits & Location:
This role offers a range of competitive compensation starting at $150,000 and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401K and more. Axiomites predominately work remotely, with the exception that some clients require on-site presence.
