M&A Lawyer

We are currently seeking M&A Lawyers to work with our F500 client base across multiple industries. Ideal candidates will have a strong background in M&A law, with a proven track record of successfully managing and executing complex M&A transactions.
Responsibilities:
- Advise clients on all aspects of M&A transactions, including deal structuring, due diligence, negotiation, drafting, and closing of purchase and sale agreements, merger agreements, and other related documents.
- Draft, review, and negotiate a wide range of transactional documents, including purchase, merger, confidentiality, and disclosure agreements.
- Coordinate activities of large deal teams and internal and external stakeholders, from due diligence through closing and integration to facilitate seamless deal execution
- Conduct and coordinate due diligence investigations to identify potential legal risks and provide strategic guidance to clients on mitigating those risks.
- Collaborate with cross-functional teams, including finance, tax, regulatory, and compliance experts, to ensure seamless execution of M&A transactions and integration processes.
Qualifications:
- Possess an active bar license in the state in which you reside.
- Minimum 3+ years of experience practicing as an M&A attorney at an AmLaw firm or F500 in-house legal department, with a focus on handling complex M&A transactions.
- Experience working on mergers, acquisitions, joint ventures, divestitures, private equity, or fund investments either at an law firm or in an in-house legal team.
- Strong knowledge of federal and state corporate and securities laws, regulations, and practices related to M&A transactions.
Preferred Qualifications (not required but considered advantageous):
- Experience advising clients in a variety of industries, including technology, healthcare, energy, and financial services, on M&A transactions.
- Demonstrated ability to manage multiple high-stakes transactions simultaneously, with excellent project management, negotiation, and communication skills.
- Familiarity with private equity and venture capital transactions, including portfolio company acquisitions and dispositions.
Compensation, Benefits & Location:
This role offers a range of competitive compensation starting at $150,000 and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401K and more. Axiomites predominately work remotely, with the exception that some clients require on-site presence.
